ANNUAL BUSINESS MEETING

Our By Laws provides for the general meeting of members of PICPA during which the President shall render his annual report and the Treasurer, his financial report to the members. The annual meeting shall be held during the Friday of the Accountancy Week. The following are the requirements for the annual business meeting:

  1. Notice shall be made not later than 15 days prior to the annual meeting ; written notice shall be published once a week for two consecutive weeks in a newspaper of general circulation, in the PICPA Accounting Times and /or any of its publications.
  2. Quorum shall be physical presence of 400 members in good standing.
  3. Any member of good standing shall be entitled to vote in person or in proxy.
  4. The order of business shall be
    1. Call to Order
    2. Proof of Publication of Notice of Meeting
    3. Certification as to Presence of Quorum
    4. Reading and Approval of Minutes of Previous Meeting
    5. Business Arising from the Minutes
    6. Report of the President
    7. Report of the Treasurer
    8. New Business
    9. Determination of the Place for the Next Annual Meeting
    10. Adjournment
  5. This committee is tasked to see to it that all the preparatory requirements for the meeting are complied with and to make sure that the meeting is conducted in an appropriate manner.

FUNCTIONS

  1. Discuss the issues encountered in last year’s meeting with the ExCom and recommend on how this should be handled this year
  2. Undertake all steps to ensure that all the corporate legal requirements are complied with to ensure that a validly legal meeting is held; coordinate with the Corporate Secretary and other officers who have a vital role in the proceedings of the Annual Business Meeting.
  3. Prepare the program and the details of proceedings for the Annual Business Meeting, identify the participants and inform them of the reports that are to be prepared and submitted to the body.
  4. 4. Make sure that the required reports as in No. 2 above are prepared ahead of time to give all members of the ExCom the opportunity to review such reports. Require all ExCom to sign off all reports that are to be submitted.
